Meitav Investment House (TASE: MTAV) has successfully completed a full exchange tender offer for Peninsula Group Ltd., a non-bank financial services provider based in Israel, resulting in Peninsula becoming a wholly owned subsidiary of Meitav. The transaction, announced on July 21, 2026, involved the acquisition of 26,869,144 Peninsula shares in exchange for 697,900 Meitav shares, with a significant portion of the offer accepted by Peninsula shareholders prior to the final acceptance date of July 20, 2026.

The tender offer was structured to acquire up to 27,057,122 Peninsula shares, which represented approximately 12.09% of its issued and outstanding share capital. Meitav, which already held approximately 88.14% of Peninsula shares prior to the offer, received acceptances for 16,122,787 shares, equivalent to about 7.21% of Peninsula's total share capital. This acquisition allows Meitav to consolidate its ownership and streamline operations within the growing non-bank credit sector.

Peninsula Group Ltd. specializes in providing credit and financing solutions to small and medium-sized enterprises (SMEs), a segment that has seen increasing demand as businesses seek flexible financing options in a dynamic economic environment. By acquiring full ownership of Peninsula, Meitav aims to enhance its capabilities in this market, optimize capital utilization, and reduce operational costs. The move aligns with Meitav's strategy to strengthen its position in the financial services sector, particularly in non-bank lending, which has become a critical area of focus amid evolving market conditions.

The completion of this transaction will result in Peninsula being delisted from the Tel Aviv Stock Exchange, although it will continue to operate as a reporting corporation due to its outstanding bond series. This transition reflects a broader trend in the financial services industry, where consolidation is increasingly common as firms seek to enhance operational efficiencies and expand their service offerings in a competitive landscape.

Overall, this acquisition underscores Meitav's commitment to growth and innovation within the financial services sector. As the demand for alternative financing solutions continues to rise, the integration of Peninsula into Meitav's operations is expected to position the company favorably to capitalize on emerging opportunities in the non-bank lending market. The transaction may also signal a trend of increased consolidation in the sector as firms seek to leverage synergies and improve service delivery in response to changing client needs.
